1. Agreement to Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between the entity or person accessing or using our services ("Customer", "you", or "your") and AEOFlow, maintained by Neeraj Mukta ("AEOFlow", "we", "us", or "our").

By registering for an account, accessing, browsing, or utilizing the AEOFlow platform, web applications, APIs, or documentation (collectively, the "Services"), you confirm that you have read, understood, and agreed to be bound by these Terms and our companion Privacy Policy and Refund Policy. If you are entering into this Agreement on behalf of a company, organization, or agency, you represent and warrant that you have the full legal authority to bind that entity to these Terms. If you do not have such authority or do not agree with these Terms, you must not access or use the Services.

AEOFlow is a high-throughput, cloud-hosted Answer Engine Optimization (AEO) and structured data platform designed for content publishers, growth teams, and digital agencies using Content Management Systems (such as Webflow CMS). The platform provides:

• Automated semantic entity extraction and Schema.org graph generation;
• JSON-LD schema generation and real-time validation for search engine crawlers and AI search agents;
• Distilled citation anchors designed for visibility across AI search engines (such as Perplexity, ChatGPT Search, Claude, and Google AI Overviews);
• CMS webhook automation, synchronizers, batch analyzers, and developer APIs.

We continuously evolve and enhance the platform. We reserve the right to modify, update, deprecate, or introduce new features to the Services, provided such modifications do not materially reduce the core functionality of an active paid subscription tier without adequate advance notice.

4. Account Registration & Security

To access certain features of the Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete registration information;
• Maintain and promptly update your account information;
• Maintain the absolute confidentiality and security of your credentials and API tokens (including any Webflow CMS API keys or AEOFlow API keys provisioned to you);
• Promptly notify us at hello@tryaeoflow.com if you discover or suspect any unauthorized access or security breach regarding your account.

You are solely responsible for all activities, charges, and API requests that occur under your account credentials, whether authorized by you or not, unless caused directly by our breach of security.

5. Subscriptions, Billing & Payment Processing (Merchant of Record)

5.1 Subscription Plans: AEOFlow is offered on subscription tiers (e.g., Starter, Pro, Agency, Enterprise) billed on a recurring monthly or annual basis, as well as on-demand credit or usage add-ons. Details of current pricing and quota limits are specified on our pricing page and confirmed during checkout.

5.2 Merchant of Record (Dodo Payments): Our payment processing, transaction handling, invoicing, currency conversion, and global sales tax / VAT collection are managed by our authorized Merchant of Record partner:

5.3 Recurring Billing & Automatic Renewal: By purchasing a subscription, you authorize us and our Merchant of Record to charge your designated payment method at the beginning of each billing cycle (monthly or annually) until you cancel. Your subscription will automatically renew under the same terms unless cancelled prior to the renewal date.

5.4 Price Changes: We reserve the right to revise subscription fees at our discretion. Any price adjustments will be communicated to you via email or platform announcement at least thirty (30) days in advance of taking effect. Continued use of the Services following the effective date of the price change constitutes your acceptance of the new pricing.

5.5 Taxes: Prices displayed may be exclusive of applicable Value-Added Tax (VAT), Goods and Services Tax (GST), or state/local sales taxes unless stated otherwise. Applicable taxes are calculated and collected by our Merchant of Record at checkout based on your billing jurisdiction.

We maintain a fair, transparent cancellation and refund process. You may cancel your subscription at any time directly from your account dashboard or by contacting our support team. 7. Intellectual Property & Proprietary Rights

7.1 AEOFlow Intellectual Property: As between you and AEOFlow, we retain all right, title, and interest (including all patent, copyright, trademark, trade secret, and other intellectual property rights) in and to the Services, platform architecture, algorithms, user interfaces, documentation, SDKs, and proprietary schema synthesis logic. Nothing in these Terms grants you any right, title, or interest other than the limited license explicitly granted herein.

7.2 Limited License: Subject to your compliance with these Terms and timely payment of applicable fees, AEOFlow grants you a worldwide, non-exclusive, non-transferable, revocable license during the subscription term to access and use the Services for your internal business operations and client CMS management.

7.3 Feedback: If you provide suggestions, feature requests, or feedback regarding the Services, we may use and incorporate such feedback without restriction or obligation of compensation to you.

8. Customer Content & Data Rights

8.1 Ownership of Customer Content: You retain complete ownership and intellectual property rights in all text, articles, blog posts, metadata, logos, and materials that you submit, sync, or process through the Services ("Customer Content").

8.2 License to Process Content: You grant AEOFlow a limited, worldwide, non-exclusive license to process, parse, index, and transform Customer Content solely to the extent necessary to deliver the Services (e.g., parsing blog posts to extract entities, generate JSON-LD schema, and sync structured data to your CMS).

8.3 Output Ownership: All structured JSON-LD schemas, markup, and distilled summaries generated specifically for your CMS collections ("Generated Output") belong to you upon generation. You may freely publish, modify, and distribute Generated Output on your or your clients' digital properties.

9. Acceptable Use Policy

You agree not to, and agree not to allow any third party to:

• Reverse engineer, decompile, disassemble, or derive the source code or underlying algorithms of the Services;
• Circumvent, disable, or tamper with security or rate-limiting features of the platform;
• Resell, sublicense, lease, or distribute access to the Services to unauthorized third parties without our prior written consent;
• Use the Services to process unlawful, defamatory, infringing, fraudulent, or harassing content;
• Introduce viruses, worms, malware, or malicious code into our infrastructure or the Webflow CMS ecosystem;
• Engage in abusive automated crawling or scraping that places an unreasonable load on our infrastructure.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without liability.

10. AI Services & Third-Party Integrations

10.1 Webflow Integration: The Services integrate with Webflow CMS via official APIs and webhooks. Your use of Webflow remains subject to Webflow's separate terms of service. AEOFlow is an independent software provider and is not affiliated with or endorsed by Webflow, Inc.

10.2 Artificial Intelligence & Inference: Certain schema generation and entity distillation features utilize large language models and semantic inference providers (such as OpenAI, Anthropic, or OpenRouter). We process Customer Content through secure enterprise API endpoints with zero-data-retention agreements where available. Customer Content submitted for schema synthesis is not utilized to train public foundation models.

11. Service Availability & Modifications

We employ industry-standard infrastructure practices (built on Cloudflare global edge network) aiming for high availability. However, we do not guarantee uninterrupted, error-free, or 100% uptime. Scheduled maintenance, emergency updates, or upstream network disruptions may occasionally cause temporary interruptions. We will use commercially reasonable efforts to announce planned maintenance in advance.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, GENERATED OUTPUT, AND DOCUMENTATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. AEOFLOW SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AEOFLOW DOES NOT WARRANT OR GUARANTEE SPECIFIC SEARCH ENGINE RANKINGS, CITATION FREQUENCY, TRAFFIC INCREASES, OR ARTIFICIAL INTELLIGENCE PLATFORM INCLUSION (E.G., IN CHATGPT, PERPLEXITY, OR GOOGLE AI OVERVIEWS), AS SEARCH ENGINE AND LLM CRAWLING ALGORITHMS ARE CONTROLLED SOLELY BY INDEPENDENT THIRD PARTIES.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AEOFLOW, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR PAYMENT PROCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICES.

IN NO EVENT SHALL AEOFLOW'S TOTAL AGGREGATE LIABILITY ARISING UNDER OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO AEOFLOW IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless AEOFlow, its affiliates, directors, officers, employees, and payment partners from and against any third-party claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms; (b) Customer Content submitted or synced by you; or (c) your violation of any applicable law or third-party rights (including intellectual property or privacy rights).

15. Term & Termination

15.1 Term: This Agreement begins upon your initial access or account registration and continues until terminated in accordance with this section.

15.2 Termination by You: You may terminate this Agreement at any time by cancelling your subscription via your account settings and ceasing use of the Services.

15.3 Termination by Us: We may suspend or terminate your account and access to the Services immediately upon written notice if: (a) you breach any material term of this Agreement; (b) your payment fails or is overdue; or (c) we are required to do so by applicable law or payment network rules.

15.4 Effect of Termination: Upon termination, all rights and licenses granted to you will cease immediately, except that accrued payment obligations and provisions which by their nature should survive (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) will survive.

16. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the IT Act 2000, India without regard to conflict of law principles.

The parties agree to first attempt in good faith to resolve any dispute, claim, or controversy informally for a period of at least thirty (30) days by contacting each other. If the dispute cannot be resolved informally, any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in India, and the parties hereby consent to personal jurisdiction and venue therein.

17. Changes to Terms

We may revise these Terms from time to time to reflect modifications in law, technology, regulatory standards, or our business operations. Material changes will be notified via email or prominent notice on our website at least fourteen (14) days prior to taking effect. The "Effective Date" at the top indicates when the latest revisions were enacted. Your continued use of the Services following notice of changes constitutes your acceptance of the amended Terms.
